TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using HVAChub's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services. These Terms constitute a legally binding agreement between you and HVAChub.

2. Service Description

HVAChub provides AI-powered phone answering and dispatch services specifically designed for HVAC businesses, including:

  • 24/7 automated call answering
  • SMS notifications to operators about incoming service calls
  • Automated lead capture and customer information collection
  • Call routing and management
  • Integration with business management systems
  • Call recording and transcription services

3. Eligibility

To use HVAChub, you must:

  • Be at least 18 years of age
  • Have the authority to enter into this agreement on behalf of your business
  • Operate a legitimate HVAC service business
  • Comply with all applicable local, state, and federal laws

4. Account Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.

5. Subscription and Payment

5.1 Service Fees

  • Subscription fees are billed monthly in advance
  • Fees are based on your selected service tier
  • Setup fees (if applicable) are one-time charges

5.2 Payment Terms

  • Payment is due upon receipt of invoice
  • Accepted payment methods: credit card, ACH transfer
  • All fees are in U.S. Dollars (USD)

All fees are non-refundable except as required by law.

5.3 Price Changes

We reserve the right to modify pricing with 30 days advance notice. Continued use after price changes constitutes acceptance.

5.4 Late Payment

Accounts with past-due balances may be suspended. Service suspension does not eliminate payment obligations. A reactivation fee may apply.

6. User Obligations

You Agree To:

  • Use the service only for lawful purposes
  • Provide accurate business information and operating hours
  • Inform callers that calls may be recorded (where required by law)
  • Respond to customer inquiries generated through our service
  • Maintain professional communication standards

You Agree NOT To:

  • Use the service for illegal activities or harassment
  • Impersonate others or provide false information
  • Attempt to hack, disrupt, or interfere with the service
  • Use the service to transmit spam or unsolicited marketing
  • Resell or redistribute HVAChub services without authorization
  • Reverse engineer or copy our proprietary technology

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for service interruptions due to third-party failures, internet issues, natural disasters, government actions, or circumstances beyond our reasonable control.

8. Data and Privacy

Your use of HVAChub is governed by our Privacy Policy.

Call Recording

  • You acknowledge that calls may be recorded
  • You are responsible for complying with call recording laws
  • You must inform callers of recording where required by law
  • Recorded calls are stored for 90 days

You retain ownership of your customer data. We may use aggregated, anonymized data for analytics and service improvement.

9. Intellectual Property

HVAChub, our logo, and all related trademarks are owned by HVAChub. Our software, algorithms, and technology are protected by copyright and trade secret laws. We grant you a limited, non-exclusive, non-transferable license to use our service. You may not copy, modify, distribute, or create derivative works.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Service "As Is"

HVAChub is provided "AS IS" and "AS AVAILABLE". We make no warranties, express or implied. We do not guarantee error-free or uninterrupted service.

Damages Limitation

We are not liable for:

  • Missed calls or lost business opportunities
  • Lost revenue or profits
  • Data loss or corruption
  • Business interruption
  • Indirect, incidental, or consequential damages

Liability Cap

Our total liability shall not exceed the amount you paid in the last 12 months. This limitation applies regardless of the cause of action.

11. Indemnification

You agree to indemnify, defend, and hold harmless HVAChub from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use or misuse of the service, your violation of these Terms, or your violation of any laws or third-party rights.

12. Termination

By You

You may terminate with 30 days written notice to [email protected]. No refunds will be issued for remaining service periods.

By Us

We may terminate immediately for breach of Terms, non-payment, fraudulent activity, or abusive behavior.

Effect of Termination

Access will be disabled, your data may be deleted after 30 days, and outstanding fees remain due.

13. SMS Notifications & A2P Compliance

By providing phone numbers for SMS notifications, you agree to the following terms in compliance with A2P 10DLC regulations:

  • You consent to receive service-related SMS messages from HVAChub.
  • Message frequency varies based on service activity and customer inquiries.
  • Standard message and data rates may apply.
  • You can opt-out at any time by replying STOP to any message. We will immediately honor all opt-out requests.
  • For help, you can reply HELP or contact our support team.
  • Your wireless carrier is not responsible for any SMS messages sent, received, or delayed through this service.

Any disputes should first be resolved through good faith negotiations. If disputes cannot be resolved informally, they will be resolved through binding arbitration conducted in Minnesota under American Arbitration Association rules.

You waive the right to participate in class action lawsuits. All disputes must be resolved on an individual basis.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email, website notice, or in-service notification. Continued use after changes constitutes acceptance of modified Terms.

15. Governing Law

These Terms are governed by the laws of the State of Minnesota, United States. Any legal action must be brought in state or federal courts located in Minnesota.
